Deliverables: Upon full payment, you will own the final deliverables created specifically for your project. However, Sofindex retains the right to use generic code, frameworks, methodologies, and pre-existing intellectual property in future projects.

Portfolio Rights: Unless otherwise agreed in writing, Sofindex reserves the right to display completed work in our portfolio and marketing materials.

5. Payment Terms

Payment terms will be specified in your project agreement or invoice. Generally:

• Projects typically require a deposit before work commences
• Milestone payments may be required for larger projects
• Final payment is due upon project completion and approval
• Late payments may incur additional fees as specified in your agreement
• All prices are in the currency specified in your invoice

6. Project Timeline and Delays

We strive to meet all agreed-upon deadlines. However, timelines are estimates and may be subject to change due to:

• Delays in receiving necessary information or approvals from clients
• Scope changes or additional requirements
• Technical complexities or unforeseen challenges
• Force majeure events beyond our control

We will communicate any potential delays promptly and work to minimize their impact.

7. Revisions and Changes

Each project includes a specified number of revision rounds as outlined in your agreement. Additional revisions or changes to the project scope may incur additional charges.

Significant scope changes will require a new proposal and may affect project timelines and costs.

8. Confidentiality

Sofindex respects the confidentiality of your business information. We will:

• Not disclose confidential information to third parties without your consent
• Use confidential information solely for providing services to you
• Take reasonable measures to protect your information
• Sign a Non-Disclosure Agreement (NDA) upon request

9. Warranties and Disclaimers

We warrant that our services will be performed with reasonable skill and care. However:

• We do not guarantee specific business results or outcomes
• We are not responsible for third-party services or platforms
• Our liability is limited to the amount paid for the specific service
• We provide a warranty period for bug fixes as specified in your agreement

10. Limitation of Liability

To the maximum extent permitted by law, Sofindex shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, data, or business opportunities
• Damages resulting from third-party services or content
• Any amount exceeding the fees paid for the relevant service

11. Termination

Either party may terminate the agreement with written notice. Upon termination:

• Client must pay for all work completed to date
• Sofindex will deliver all completed work
• Any prepaid fees for incomplete work may be refunded at our discretion
• Confidentiality obligations continue after termination

12. Support and Maintenance

Post-launch support and maintenance are available through separate agreements. Support may include:

• Bug fixes and technical issues
• Software updates and security patches
• Performance optimization
• Feature enhancements

13. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.

14. Changes to Terms

Sofindex reserves the right to modify these terms at any time. We will notify clients of significant changes. Continued use of our services after changes constitutes acceptance of the modified terms.
